Hermes calls for ban on unendorsed stock option plans

UK-based Hermes Pensions Management has told Nasdaq it should compel listed companies to seek shareholder endorsement before they introduce stock option plans for their directors.

Michelle Edkins, director of corporate governance at Hermes, said: &quotMany stock option plans involve a considerable transfer of wealth from shareholders to directors. In any other form of asset ownership, such a transfer without the approval of owners would be considered theft.&quot
